1. Agreement and Modifications

IndustryLabs reserves the right to modify these Terms at any time. When we make changes, we will post the updated Terms on this page with a revised date. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically to stay informed about your rights and obligations.

3. User Accounts and Registration

You can browse our tool directory and read our content without creating an account. Submitting a Request Board inquiry does not require registration, though by submitting you consent to us sharing your information with relevant vendors as described in our Privacy Policy. If we launch vendor subscription services, those will require separate accounts with additional terms specific to vendor relationships.

4. Acceptable Use

When using IndustryLabs, you agree to provide accurate information in all interactions with us and with vendors. You will not impersonate others, use the service for unlawful purposes, attempt unauthorized access to systems or data, scrape or systematically extract data, or introduce malicious code. You will not harass or harm other users or vendors, and you will comply with all applicable laws and regulations in your use of the Site.

6. Request Board Terms

When you submit a request through our Request Board, you explicitly consent to us sharing your contact information and stated requirements with two or three vendors whose tools match your needs. We facilitate these introductions but are not party to any subsequent agreements, negotiations, or transactions between you and vendors. We make no guarantees about vendor response times, the quality of vendor follow-up, vendor conduct or business practices, or the outcomes of any vendor relationships. We do not currently receive commissions or referral fees from vendor sales, though we may implement such arrangements in the future with appropriate disclosure.

7. Buyer Evaluation Reports

When paid evaluation report services launch, reports will be delivered as PDF documents based on data available at the time of creation. Reports are provided “as is” without warranty of any kind. If you are unsatisfied with a report, we offer refunds within seven days of delivery according to our refund policy. Reports are licensed for your internal use only and may not be redistributed, resold, or shared publicly without our explicit written permission.

8. Intellectual Property

All content on the Site—including text, graphics, logos, design elements, software, and databases—is owned by IndustryLabs or our content suppliers and is protected by copyright, trademark, and other intellectual property laws. You may view and print content for personal, non-commercial use. You may share links to our pages. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without our explicit written permission. Tool vendor logos, names, and other assets remain the property of respective vendors and are used with permission or under fair use principles.

9. Third-Party Services and Links

We use third-party services including Google Analytics 4 for analytics, Airtable for data storage, Vercel for hosting, and Stripe for payment processing when subscription services launch. Each of these providers operates under their own terms of service and privacy policies. The Site contains links to third-party websites including tool vendor sites. We are not responsible for the content, accuracy, practices, or availability of external sites. Your interactions with third parties are solely between you and them.

You agree to indemnify, defend, and hold harmless IndustryLabs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses including reasonable legal fees arising from your use of the Site, your violation of these Terms, your violation of any rights of third parties, or any content you submit or share through the Site.

12. Termination

We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for violation of these Terms or at our sole discretion. Upon termination, your right to use the Site ceases immediately. Provisions of these Terms that by their nature should survive termination—including disclaimers, limitations of liability, indemnification, and dispute resolution—will remain in effect.

13. Vendor Subscriptions

When we launch subscription services for tool vendors, those relationships will be governed by separate vendor terms in addition to these Terms. Vendor-specific terms will address subscription pricing, payment terms, listing requirements, termination conditions, and other matters specific to the vendor relationship.

14. Dispute Resolution

These Terms are governed by the laws of England and Wales without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating formal legal proceedings, we encourage informal resolution through direct communication with us at contact@industrylabs.ai. We may offer binding arbitration as an alternative dispute resolution mechanism in the future, which would be governed by separate arbitration terms.

15. Service Changes

We may modify, suspend, or discontinue any part of the Site at any time without liability. We may change pricing for paid services with reasonable advance notice. We may update tool listings, remove tools that no longer meet our curation criteria, or modify our matching algorithms for the Request Board. We will make reasonable efforts to notify users of material changes that affect service functionality.

16. Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information. By using the Site, you consent to our data practices as described in the Privacy Policy.

17. General Provisions

These Terms together with our Privacy Policy constitute the entire agreement between you and IndustryLabs regarding use of the Site. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor entity. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and IndustryLabs. Neither party will be liable for delays or failures to perform due to circumstances beyond reasonable control including natural disasters, war, terrorism, riots, labor disputes, or internet service disruptions.
